We’re a vibrant, switched-on small (boutique as some like to call it) team located in Columbia, SC.  We love giving world-class, friendly IT Support.

We’ve been around since 2015 and have extensive experience in installing, configuring, and maintaining IT Infrastructure for Small and Medium businesses. We are able to understand our clients’ needs and plan and implement solutions that work for your business, both in the short term and long term.

As we are also a small business, we are able to offer you a much more personalized service when you are dealing with us.

Approximately 80% of our work is performed offsite via the use of various remote management tools and access methods. This allows us to be able to respond very quickly to fix a problem you or your staff may have.

Service

This agreement is designed to protect your business interests and ensure consistent, high-quality service delivery, with provisions for confidentiality, data protection, and termination rights. Upon acceptance, both parties will be bound by these terms, creating a foundation of trust and accountability throughout our partnership.

Between BrightWorks Technologies ("Provider") and RetireEase ("Client")


1. Scope of Services

Provider agrees to deliver the managed IT services described in the attached Statement of Work and "Your Investment", including but not limited to:
  • 24/7 remote monitoring & management (as applicable)
  • Proactive maintenance and updates (as applicable)
  • Network analysis and documentation (as applicable)
  • Backup and disaster recovery (as applicable)
  • Cybersecurity monitoring and response (as applicable)
  • Help desk support
  • Cloud infrastructure management (if applicable)

2. Term & Termination

  • Initial Term: 12 months beginning on the first day of the following month. Hardware-as-a-Service (HaaS) terms are 36 months with free replacement and refreshes, as needed.
  • Renewal: This Agreement will automatically renew for successive 12-month periods unless either party provides 30 days’ written notice prior to renewal.
  • Termination: Either party may terminate this Agreement with 30 days’ written notice. Early termination by Client may be subject to fees as specified in the Statement of Work and "Your Investment".

3. Payment Terms

  • Fees: Client agrees to pay Provider the monthly fee(s) specified in the Your Investment section.
  • Payment Due: Monthly payments are due on the 1st of each month with a 15-day grace period.
  • Late Payments: Late payments may incur a 1.5% monthly finance charge or the maximum allowed by law.

4. Service Level Agreement (SLA)

  • Response Time: Provider will respond to critical service requests within 2 hours and to non-critical requests within 8 hours. Onsite support between 9AM-5PM Monday-Friday is included but may require coordination between both parties.
  • Uptime Commitment: Provider will use commercially reasonable efforts to maintain system uptime and minimize disruptions.

5. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the term of this Agreement. Provider will follow industry best practices to protect Client data and comply with applicable privacy laws.

6. Liability Disclaimer for Unprotected Devices

BrightWorks Technologies strongly recommends that all devices connected to your network be included under our managed protection and security services. If you choose to exclude or decline coverage for any device(s), please be advised that BrightWorks Technologies cannot be held responsible for any issues, breaches, damages, losses, or disruptions that may result from or involve those unprotected devices. This includes, but is not limited to, cybersecurity incidents, data loss, unauthorized access, or network outages originating from or affecting unprotected devices.
By declining protection for specified device(s), you acknowledge and accept full responsibility for any associated risks and agree that BrightWorks Technologies is released from all liability related to those devices. Any service or remediation required for unprotected devices may be subject to additional fees and is not covered under the terms of this agreement.

7. Limitation of Liability

Except for cases of gross negligence or willful misconduct, Provider’s liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client in the preceding six (6) months. Provider is not liable for indirect, incidental, or consequential damages.
